Job Description:
Accountabilities adhere to the TD Global Compliance Department Mandate, follow the executive mandate for the role and are executed in accordance with the Regulatory Compliance Management (RCM) program and related standards. These include:
- The Vice President, Compliance, Global Privacy Officer and FATCA CRS, Compliance (VP GCPO) is responsible for leading and maintaining a Program for global Privacy overseeing adherence to regulatory compliance and promoting and fostering a strong culture of integrity and ethics.
- Privacy has primary oversight function accountability under TD's Enterprise Regulatory Compliance Management (RCM) Framework for privacy laws, rules, and regulations globally. The VP GCPO leads the global privacy teams. The VP GCPO fulfils the duties of Global Privacy Officer for TD.
- The VP GCPO also leads the Foreign Account Tax Compliance Act / Common Reporting Standard (FATCA/CRS) center of excellence, which provides subject matter expertise and objective guidance relating to FATCA/CRS compliance.
- Lead and maintain the Program for Global Privacy promoting regulatory compliance and a strong culture of integrity and ethics. Own and drive strategic direction, incorporating insights from reporting results and emerging risks, for a comprehensive horizontal privacy regulatory risk compliance program.
- Lead and oversee teams of subject matter experts responsible for providing risk-based oversight, trusted and objective guidance, and independent challenge to risk owners, risk partners and Compliance management on identifying and managing privacy and FATCA/CRS risks, supporting business initiatives and the management of privacy related events and complaints, and on privacy and FATCA/CRS related regulatory compliance risk management. These teams are situated globally in Canada, the U.S and Europe and Asia-Pacific, with jurisdictional specific mandates to oversee privacy and FATCA CRS compliance as appropriate within their jurisdictions.
- Maintain strong organizational awareness, and understand business strategy, objectives, operating environment, products and services, processes, risks, and controls.
- Oversee the Privacy and FATCA/CRS regulatory change management programs. Lead implementation of regulatory change or policy change, as appropriate.
- Oversee the development and maintenance of governance documentation including policies, standards, guidelines, procedures, processes, and deliverables of the Program for Privacy globally, including the Global Privacy Policy, and FATCA/CRS.
- Own and maintain external facing privacy commitments and notices.
- Provide guidance, review initiatives and contribute to the development of strategic direction in adapting to new technologies, including the use of artificial intelligence.
- Maintain practices and procedures to communicate regulatory compliance requirements, standards, and risks to business lines, confirming the information provided is updated as necessary to reflect new and changing regulatory requirements.
- Assess the adequacy, adherence, and effectiveness of RCM controls related to privacy and FATCA/CRS across TD.
- Own, manage and maintain up to date enterprise privacy risk assessment, event management and reporting tools.
- Review and assess risks and provide guidance on appropriate remediation and measures to meet privacy and FATCA CRS requirements, manage regulatory risks, and determine potential issues requiring reporting and escalation.
- Manage Internal Audit engagements, responses and remediation to findings and observations.
- Provide people management leadership, oversee performance and development activities, and build for the future by advancing strategies to attract, retain, develop and engage the best talent of high performing, highly qualified and diverse teams to achieve the objectives of this mandate.
- Oversee the provision of routine and regular reporting of activities, issues, events, emerging trends, and risks through appropriate channels, including communication with external regulators as required.
- Report on significant areas or instances of regulatory non-compliance, including status of remedial actions and emerging trends and risks, to key stakeholders and to senior management.
- Maintain positive, cooperative, and effective relationships, and manage communications, with privacy-related regulators.
- Develop and maintain constructive relationships with senior business management and risk and control partners to support interaction and engagement models for governance and operations, regular reporting, and risk management.
- Engage in Third Party Risk Management processes including privacy risk-based oversight, guidance, and challenge.
- Review, consult, engage and advise on mergers, acquisitions, and other similar activities.
- Measure, monitor, escalate, self-assess and report on material risk and control issues including reporting, monitoring, and escalation of risk appetite measures.
- Perform independent monitoring, and support Compliance monitoring and testing of businesses to assess the adequacy of, adherence to and effectiveness of business lines' RCM programs related to privacy and FATCA/CRS.
- Develop and maintain measures for Privacy as a major risk subcategory under TD's Enterprise Risk Appetite.
- Maintain expert knowledge of laws, rules, and regulations. Participate in relevant industry committees, forums, and events to stay informed and to influence regulatory change.
- Maintain positive relationships with privacy counterparts at other financial institutions.
- Represent TD, creating a positive brand and public profile.
- Oversee the development of enterprise and specialized/ad hoc privacy and FATCA CRS training, where appropriate, and support the delivery of regulatory compliance training.
- Develop, deliver, and maintain appropriate internal and external communications.
- Oversee the maintenance of complete, accurate, and up-to-date Privacy program records, as appropriate.
- Develop strategic initiatives that comply with relevant regulatory requirements and internal compliance policies.
- Foster a culture of integrity and ethical business conduct, avoid potential or actual conflicts of interest, and comply with applicable policies of the Bank.
- Contribute to the development of the Compliance Department's strategy and operating plans to create responsible, sustainable growth and achieve goals aligned to TD's enterprise strategic plans and priorities.
- As a member of the Compliance Senior Leadership Team, actively contribute to the direction of TDBG Compliance overall, promoting alignment with corporate philosophy and strategic direction while protecting the reputation of the Bank.
- Review the effectiveness of the Global Privacy program regularly.
- Incorporate the relevant components of the Enterprise Conduct Risk program into the Global Privacy program.
- Operate within TD's Enterprise Risk Framework and the Risk Appetite.
- Manage and identify risk in day-to-day activities, and develop and implement plans and strategies to achieve and sustain the Compliance function's results within the risk appetite of Compliance.
Skills, Education & Experience
- Bachelor's degree or progressive work experience in addition to experience below
- 10+ years related experience Privacy Law required
- Certified Regulatory Compliance Manager (CRCM), law degree, regulatory, or risk management experience a plus
- Extensive Operational knowledge as pertains to implementation of regulatory requirements
- In-depth knowledge of financial services regulatory industry practices
- Strong management experience leading regulatory compliance activities
- Strong Management skills in the development and mentoring of employees
- Experience establishing and implementing effective regulatory strategies, policies and plans that support ongoing Company business
- Strong management, organizational and evaluative process skills. Ability to analyze complex organizational and process issues to isolate regulatory risk exposure.
- Demonstrated ability to develop and maintain productive business relationships with internal partners and external regulators
- Solid understanding of technology's role in the business and compliance controls
- Effective negotiation and influencing skills with experience in conveying complex information to general audiences through training materials, written communications, and other means
- Strong analytical skills and ability to exercise sound judgment in development and selection of compliance solutions
- Strong collaborative skills and experience leading and working in a matrix environment and on cross-functional teams
- Excellent verbal and written communications skills, including the ability to persuade and influence a broad spectrum of constituents at all levels
